If I want to attend the meeting and vote in person, what do I need to know?
If your shares are registered directly in your name with our transfer agent, American Stock Transfer & Trust Company LLC, you are considered a registered holder, or stockholder of record, with respect to those shares. As the stockholder of record, you have the right to vote in person at the meeting. If you choose to do so, you can bring your proxy card or vote using the ballot provided at the meeting. Please follow the instructions on the proxy card and remember to bring a photo ID. However, even if you plan to attend the AGM, we recommend that you vote your shares in advance by proxy so that your vote will be counted if you later decide not to attend the AGM.
If you hold your shares through a broker, bank, or other intermediary rather than directly in your own name, you are considered a beneficial owner of shares held in street name. Because a beneficial owner is not a stockholder of record, you may not vote these shares in person at the meeting unless you obtain a legal proxy from the broker, bank, or nominee that holds your shares, giving you the right to vote those shares at the meeting.
